Veyra Brand Partner Agreement

This Brand Partner Agreement (“Agreement”) is entered into by and between Veyra Inc. (“Veyra”, “Platform”, “we”), and the seller, brand, or vendor (“Partner”, “you”) who integrates their Shopify storefront with Veyra. By connecting to the Veyra platform, you agree to the terms of this Agreement.

1. Shopify Integration

The Partner shall integrate its Shopify store with Veyra using the authorized connection process. Inventory, pricing, and product descriptions will be synchronized through Shopify webhooks. The Partner is solely responsible for maintaining accurate and updated product information and ensuring uninterrupted integration.

2. Commission and Payments

Veyra will charge a commission on all sales completed through the platform. An introductory rate of 8% applies for the first two (2) months following launch, after which a standard commission of 12% will apply. All payments are processed through Stripe Connect, and commissions will be deducted prior to settlement. Taxes are additional, and Veyra reserves the right to adjust commission rates with thirty (30) days’ prior notice.

3. Product Listings and Compliance

The Partner must ensure that all product listings are complete, accurate, and in compliance with applicable Canadian laws, including consumer protection, advertising, labelling, and safety standards. Misleading descriptions or unlawful claims are prohibited. Veyra reserves the right to review, modify, or remove any listing at its discretion.

4. Fulfillment and Customer Service

The Partner is fully responsible for order fulfillment, including packaging, shipping, delivery, returns, exchanges, and all post-sale customer service. Veyra does not assume liability for disputes, delays, or claims arising from the Partner’s products or services.

5. Taxes

The Partner is responsible for assessing, collecting, reporting, and remitting all applicable taxes (including GST/HST and provincial sales tax, where applicable). Veyra does not assume responsibility for the Partner’s tax obligations.

6. Intellectual Property and Licensing

The Partner represents and warrants that it owns or is authorized to use all intellectual property related to its products, logos, images, and descriptions. The Partner grants Veyra a limited, royalty-free license to display, promote, and distribute such content through the platform.

The Partner shall indemnify and hold harmless Veyra from any third-party claims relating to intellectual property infringement.

7. Insurance

The Partner shall maintain, at its own cost, appropriate commercial liability and product liability insurance to cover risks associated with its products and operations.

8. Data Access and Confidentiality

Veyra may provide the Partner with access to dashboards containing sales, performance, and traffic data. Such information is confidential and may not be shared or used outside of managing performance on Veyra. No personally identifiable customer data will be shared.

9. Suspension and Termination

Veyra reserves the right to suspend or terminate a Partner’s access to the platform in the event of fraud, legal violations, reputational harm, or breaches of this Agreement. Suspension may be immediate where necessary, but notice and an opportunity to remedy will be provided where possible. Either party may terminate this Agreement with ten (10) business days’ written notice. Termination will not relieve either party of obligations accrued prior to termination.

10. Amendments

Veyra may amend this Agreement from time to time. Material changes will be communicated to Partners via email or platform notification. Continued use of the platform after such notice constitutes acceptance of the revised Agreement.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario.
