
Veyra Brand Partner Agreement
1. Introduction
This Brand Partner Agreement ("Agreement") is entered into by and between Veyra ("Platform"), and any seller or brand ("Partner") who connects their store to the Veyra platform. By integrating with Veyra, the Partner agrees to abide by the terms set forth herein.
2. Integration with Shopify
The Partner shall connect their Shopify store to Veyra through the OAuth process. Upon successful integration, Veyra shall utilize Shopify webhooks to synchronize product inventory, pricing, and descriptions in near real-time. The Partner is responsible for ensuring data accuracy and integration continuity.
3. Commission and Payment Terms
Veyra shall charge a service commission on all successful sales processed through the platform. An introductory commission rate of 8% shall apply for the first two (2) months following the official launch of the Veyra mobile app. Thereafter, the standard commission rate shall be 12%. All amounts are exclusive of taxes. Veyra reserves the right to adjust commission rates with thirty (30) days written notice.
4. Product Listings and Accuracy
All product listings submitted to the Veyra platform must be complete, accurate, and in full compliance with applicable laws and regulations. This includes truthful descriptions, appropriate imagery, and lawful product claims. Veyra reserves the right to review, modify, or remove listings that violate these standards.
5. Order Fulfillment and Customer Service
The Partner is solely responsible for all aspects of order fulfillment, including but not limited to packaging, shipping, delivery, returns, and post-sale customer support. Veyra is not liable for disputes arising from the Partner’s failure to fulfill orders or deliver satisfactory customer service.
6. Payouts and Financial Settlement
All payments for Partner sales processed via the Veyra app shall be handled through Stripe Connect. Payouts will be remitted to the Partner after deducting Veyra's commission. Payment frequency and processing times are subject to Stripe's operational timelines. The Partner is responsible for maintaining an active and verified Stripe Connect account and complying with all applicable financial regulations.
7. Data Access and Reporting
Veyra will provide the Partner with access to analytics dashboards reflecting product performance, traffic data, and sales reports. No personally identifiable customer data will be shared with the Partner. Data shall be used solely for performance improvement and strategic planning.
8. Suspension and Remedial Rights
Veyra reserves the right to suspend, disable, or terminate a Partner’s access to the platform if there is reasonable belief of policy violation, fraudulent activity, or conduct detrimental to Veyra's reputation. Suspension will be preceded by notice where possible, and Partners shall be given an opportunity to remedy the breach.
9. Termination
Either party may terminate this Agreement at any time with ten (10) business days' written notice. Termination does not relieve either party of obligations incurred prior to the effective date of termination. All financial settlements up to the date of termination shall be honored.
10. Amendments and Updates
Veyra may amend this Agreement from time to time. Material changes will be communicated to the Partner via email or platform notification. Continued use of the platform after notice constitutes acceptance of the revised terms.
